Welcome to Colleator.
These Terms of Service (“Terms”) govern your access to and use of the Colleator website, platform, services, and related features (collectively, the “Service”).
By creating an account, accessing, or using Colleator, you agree to these Terms. If you do not agree with these Terms, you must not use the Service.
1. About Colleator
Colleator is an online marketplace that connects creators with individuals, businesses, brands, and other users who want to purchase promotional content or collaborations.
For the purposes of these Terms:
- “Colleator,” “we,” “us,” or “our” refers to the operator of the Colleator platform.
- “Creator” means a user who offers promotional posts, content, advertising, or other collaboration services.
- “Advertiser” means a user who purchases or attempts to purchase services from a Creator.
- “User” means any person or organization accessing or using Colleator.
- “Campaign” or “Order” means an agreement made through Colleator between an Advertiser and a Creator for specific services.
Colleator provides the technology that allows Creators and Advertisers to discover each other, communicate, create agreements, and facilitate payments.
Unless explicitly stated otherwise, Colleator is not a party to the underlying agreement between a Creator and an Advertiser and does not employ Creators.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use Colleator.
If you use Colleator on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms.
You are responsible for ensuring that your use of Colleator is permitted under the laws applicable to you.
3. Accounts
You may need to create an account or connect a supported third-party account to use certain features.
You agree to provide accurate and current information and to keep your account information updated.
You are responsible for activity occurring through your account and for maintaining the security of your login credentials.
You must notify us promptly if you believe your account has been accessed or used without authorization.
You may not:
- impersonate another person or organization;
- create accounts using false or misleading information;
- sell, transfer, or share accounts in violation of these Terms;
- use another person’s account without authorization; or
- create accounts for fraudulent, abusive, or unlawful purposes.
We may suspend or terminate accounts that violate these Terms or create a risk to Colleator or its users.
4. Third-Party Accounts and Platforms
Colleator may allow users to sign in with, connect to, or provide information relating to third-party platforms such as X.
Your use of any third-party platform remains subject to that platform’s own terms, policies, and rules.
Using Colleator does not give you permission to violate the rules of another platform.
Creators are responsible for ensuring that promotional content published through or in connection with a Colleator Campaign complies with the rules of the platform where the content is published.
Colleator is not responsible for actions taken by third-party platforms, including account suspension, account termination, content removal, reduced distribution, API restrictions, or changes to platform policies.
5. Creator Profiles and Information
Creators may provide information about themselves and their social media accounts, including information such as:
- follower counts;
- audience information;
- account information;
- pricing;
- content categories;
- previous work;
- availability; and
- other statistics or information made available through Colleator.
Some information may be obtained from third-party services or APIs.
Statistics, follower counts, engagement information, and similar data can change over time.
Colleator does not guarantee that any Creator’s statistics, audience information, performance data, or other profile information will remain accurate or produce particular Campaign results.
6. Creator Services
Creators may offer promotional services through Colleator.
Creators are responsible for accurately describing:
- what they are offering;
- what type of content will be created or published;
- pricing;
- expected publication timing;
- any limitations or requirements; and
- anything else reasonably necessary for an Advertiser to understand the service.
By accepting an Order, a Creator agrees to perform the agreed service according to the Campaign requirements accepted through Colleator.
Creators may not accept Orders they do not reasonably intend or expect to complete.
7. Advertiser Responsibilities
Advertisers are responsible for providing Creators with accurate and sufficient Campaign requirements.
Advertisers must not request content that:
- violates applicable law;
- infringes intellectual property rights;
- is fraudulent or misleading;
- promotes illegal goods or services;
- contains malicious software or harmful links;
- violates the policies of the platform where the content will appear; or
- otherwise violates these Terms.
Advertisers are responsible for ensuring that the products, services, websites, claims, and materials they ask Creators to promote are lawful and accurate.
8. Campaign Agreements
The Campaign requirements accepted by both parties form the basis of the agreement between the Creator and Advertiser.
Users should review Campaign requirements carefully before accepting an Order.
Campaign requirements may include matters such as:
- content requirements;
- links or mentions;
- publication date or deadline;
- price;
- required disclosures;
- duration the content must remain published; and
- other Campaign-specific conditions.
Creators and Advertisers are responsible for complying with the Campaign requirements they accept.
9. Advertising Disclosures
Creators and Advertisers are responsible for complying with applicable advertising, endorsement, sponsorship, and consumer-protection laws.
Sponsored content may need to clearly disclose the commercial relationship between the Creator and Advertiser.
Depending on the applicable laws and platform policies, disclosures may include terms such as “Ad,” “Sponsored,” or another appropriate disclosure.
Colleator does not provide legal advice regarding advertising disclosures. Users are responsible for determining which disclosures are required for their Campaign.
10. Payments
Payments made through Colleator may be processed by third-party payment providers.
By using payment features, you may also be required to agree to the payment provider’s terms and provide information required for identity verification, payment processing, tax compliance, fraud prevention, or other regulatory requirements.
Colleator does not directly control third-party payment networks and is not responsible for delays, account restrictions, verification requirements, or other actions taken by payment providers.
11. Creator Payouts
Where supported, payments may be held or otherwise restricted from payout until the applicable Campaign requirements have been completed.
Creators may be required to establish and maintain an account with a supported payment provider before receiving payouts.
A Creator is not entitled to payment for an Order that was not completed according to the agreed Campaign requirements.
Payout timing may depend on:
- Campaign completion;
- payment provider processing times;
- verification requirements;
- disputes;
- refunds;
- chargebacks;
- fraud reviews; or
- other circumstances reasonably requiring a payment to be delayed.
Colleator does not guarantee a specific payout date where processing depends on third parties.
12. Platform Fees
Colleator may charge service fees, transaction fees, or other fees for use of the Service.
Applicable fees will be displayed or otherwise communicated before a transaction is completed where required.
Fees may vary depending on the type of transaction, account, payment method, or services provided.
Unless otherwise required by law, fees earned by Colleator for completed transactions may be non-refundable.
Colleator may change its fees in the future. Changes will apply prospectively and will not retroactively change the agreed price of an existing Order.
13. Taxes
Users are responsible for determining and paying taxes applicable to their activities on Colleator, including income taxes, sales taxes, value-added taxes, GST/HST, or other applicable taxes.
Payment providers or Colleator may collect tax information or issue tax-related documents where required by law.
Nothing provided through Colleator should be considered tax advice.
14. Campaign Completion
A Campaign may be considered completed when the Creator has performed the agreed service and provided any required evidence of completion.
The Advertiser may be given an opportunity to review the completed work.
If the Advertiser believes the Creator has materially failed to meet the agreed Campaign requirements, the Advertiser should raise a dispute through the available Colleator process before the applicable payment is released.
Failure to raise an issue within an applicable review period may result in the Campaign being treated as completed.
15. Cancellations and Refunds
The availability of cancellations and refunds may depend on the status of the Campaign.
An Advertiser may generally be eligible for a refund where:
- the Creator rejects or cancels the Campaign;
- the Creator fails to complete the Campaign;
- the Creator materially fails to follow the agreed Campaign requirements; or
- Colleator determines that a refund is appropriate following a dispute.
An Advertiser generally will not be entitled to a refund solely because:
- the Campaign generated fewer views, clicks, sales, followers, leads, or conversions than expected;
- the Advertiser changed their mind after the Creator completed the agreed work; or
- circumstances outside the Creator’s reasonable control affected the performance of the published content.
Unless explicitly guaranteed in a Campaign, Creators do not guarantee specific marketing results.
Payment processing fees or other third-party fees may be non-refundable where permitted by law.
16. Disputes Between Users
If a dispute occurs between a Creator and an Advertiser, the parties should first attempt to resolve the issue through Colleator.
Colleator may review available information, including:
- Campaign requirements;
- communications made through the platform;
- submitted content;
- publication evidence;
- timestamps;
- payment information; and
- other relevant information.
Colleator may make a reasonable determination regarding payment release, cancellation, or refund where the platform provides such functionality.
Any decision made by Colleator regarding a platform transaction does not prevent a user from exercising rights available under applicable law.
Colleator is not a court or arbitration service and is not responsible for resolving disputes beyond the services expressly provided through the platform.
17. Chargebacks
Advertisers should contact Colleator regarding transaction disputes before initiating a chargeback where reasonably possible.
Fraudulent or abusive chargebacks are prohibited.
If a payment is reversed after a Creator has received a payout, Colleator may recover amounts owed from future payouts or take other lawful steps to recover the funds.
Accounts associated with fraudulent payments, repeated abusive disputes, or improper chargebacks may be restricted or terminated.
18. Prohibited Content and Campaigns
Users may not use Colleator to promote, sell, facilitate, or distribute unlawful or prohibited content, products, or services.
This includes content or activity involving:
- fraud or scams;
- illegal drugs or controlled substances;
- illegal weapons;
- exploitation or abuse;
- malware or malicious software;
- stolen goods;
- counterfeit products;
- infringement of intellectual property;
- deceptive financial schemes;
- unlawful gambling;
- hate or unlawful discriminatory content;
- illegal sexual content; or
- any other activity prohibited by applicable law or our payment providers.
Colleator may reject or remove Campaigns that we reasonably believe create legal, financial, reputational, or safety risks.
19. No Artificial Engagement or Misrepresentation
Creators must not materially misrepresent their audience, reach, identity, account ownership, or other information relevant to Advertisers.
Users may not intentionally manipulate Colleator using fake accounts, bots, fraudulent transactions, fabricated evidence, or similar deceptive methods.
Where audience or engagement information is presented as part of a Creator profile, Creators must not knowingly misrepresent that information.
Colleator may suspend accounts or withhold disputed payouts where we reasonably suspect fraud or material misrepresentation.
20. Intellectual Property
Users retain ownership of content they create and submit to Colleator.
By uploading or submitting content to Colleator, you grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, and process that content as reasonably necessary to operate, secure, promote, and improve the Service.
You represent that you have the rights necessary to submit any content you provide to Colleator.
You may not upload or use content that infringes another person’s copyright, trademark, privacy rights, publicity rights, or other intellectual property rights.
21. Campaign Content Rights
Ownership and usage rights for content created as part of a Campaign depend on the agreement between the Creator and Advertiser.
Unless the Campaign explicitly provides otherwise, payment for a promotional post does not automatically transfer ownership of the Creator’s underlying intellectual property, name, likeness, brand, account, or other content.
Advertisers should obtain explicit permission before reusing Creator content outside the scope of the original Campaign.
22. Colleator Intellectual Property
The Colleator name, branding, software, design, interface, code, graphics, and other materials provided by Colleator are owned by or licensed to Colleator and are protected by applicable intellectual property laws.
You may not copy, reproduce, distribute, reverse engineer, sell, license, or create derivative works from the Service except where permitted by law or expressly authorized by us.
23. Platform Communications
Users may communicate with each other through features provided by Colleator.
Users must not use these features to:
- send spam;
- harass or threaten others;
- distribute malware;
- conduct fraud;
- collect information unlawfully; or
- otherwise abuse the Service.
We may review communications where reasonably necessary to investigate reports, resolve disputes, prevent fraud, enforce these Terms, or protect the Service and its users, subject to applicable privacy laws.
24. Circumventing Colleator
Users may not use Colleator primarily to discover another user and then intentionally circumvent the platform’s payment or transaction system for the purpose of avoiding applicable Colleator fees for an active or agreed Campaign.
Repeated or deliberate circumvention may result in account restrictions or termination.
25. Privacy
Your use of Colleator is also subject to our Privacy Policy.
The Privacy Policy explains how we collect, use, store, and disclose personal information.
By using Colleator, you acknowledge that your information will be handled according to our Privacy Policy and applicable law.
26. Third-Party Services
Colleator may integrate with third-party services including social networks, payment providers, hosting providers, analytics services, and other technology providers.
We do not control those services and cannot guarantee their continued availability.
Features of Colleator may change or become unavailable if a third-party provider changes, restricts, or terminates access to its services.
Your use of third-party services may be governed by separate agreements between you and those providers.
27. Marketplace Disclaimer
Colleator provides a marketplace and related technology.
Unless explicitly stated otherwise, we do not:
- employ Creators;
- control how Creators perform their services;
- guarantee the quality of Creator services;
- guarantee the accuracy of every Creator profile;
- guarantee Campaign performance;
- guarantee views, clicks, leads, followers, conversions, revenue, or sales;
- endorse every Creator or Advertiser; or
- guarantee that a user will complete an agreed transaction.
Users are responsible for evaluating other users before entering into a Campaign.
28. Availability of the Service
We aim to keep Colleator available and reliable, but we cannot guarantee uninterrupted operation.
The Service may occasionally be unavailable because of maintenance, technical problems, third-party outages, security incidents, upgrades, or circumstances outside our control.
We may modify, add, remove, or discontinue features of the Service.
29. Suspension and Termination
We may restrict, suspend, or terminate access to Colleator if we reasonably believe a user:
- violated these Terms;
- engaged in fraud or deceptive activity;
- created a risk to other users;
- violated applicable law;
- abused the payment or dispute systems;
- created security risks;
- repeatedly failed to complete accepted Campaigns; or
- caused or may cause significant harm to Colleator or its users.
Where appropriate, we may provide notice or an opportunity to correct the issue.
Serious fraud, security, safety, or legal concerns may result in immediate action.
30. Effect of Termination
Termination does not eliminate obligations arising before termination.
Outstanding payments, refunds, disputes, chargebacks, fees, or other financial obligations may continue to be processed after an account is terminated.
Sections that by their nature should survive termination will remain in effect, including provisions concerning intellectual property, payment obligations, disclaimers, limitations of liability, indemnification, and disputes.
31. Disclaimer of Warranties
To the maximum extent permitted by law, Colleator is provided on an “as is” and “as available” basis.
We do not guarantee that:
- the Service will always be available;
- the Service will be error-free;
- every user will be trustworthy;
- every Campaign will be completed;
- information provided by users will always be accurate; or
- a Campaign will achieve particular business or marketing results.
Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
32. Limitation of Liability
To the maximum extent permitted by applicable law, Colleator and its owners, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your use of the Service.
This includes, where permitted by law, loss of profits, revenue, business opportunities, reputation, data, anticipated savings, or marketing results.
To the maximum extent permitted by applicable law, Colleator’s aggregate liability arising from or relating to the Service will not exceed the greater of:
- the amount of fees paid by you directly to Colleator during the six months immediately preceding the event giving rise to the claim; or
- CAD $100.
Some jurisdictions do not permit certain limitations of liability, so some of these limitations may not apply to you.
33. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Colleator and its owners, employees, contractors, and affiliates from claims, damages, liabilities, costs, and reasonable legal expenses resulting from:
- your violation of these Terms;
- your violation of applicable law;
- content you submit or publish;
- products or services you promote;
- infringement of another person’s rights;
- your Campaign activities; or
- fraud or intentional misconduct committed through your account.
34. Changes to These Terms
We may update these Terms from time to time.
When we make material changes, we may provide notice through the Service, by email, or through another reasonable method.
The updated Terms will become effective on the date stated in the updated version.
Continued use of Colleator after the updated Terms become effective constitutes acceptance of the revised Terms where permitted by law.
35. Governing Law
These Terms and any dispute arising from them will be governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles.
Subject to any rights you may have under applicable consumer protection laws, disputes relating to these Terms or the Service will be submitted to the courts located in Ontario, Canada.
Nothing in these Terms limits rights that cannot legally be waived under applicable consumer protection laws.
36. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.
The invalid provision will be interpreted or modified to the minimum extent necessary to make it enforceable where permitted by law.
37. No Waiver
If Colleator does not immediately enforce a provision of these Terms, that does not mean we waive our right to enforce it later.
38. Entire Agreement
These Terms, together with the Privacy Policy and any additional terms presented for specific features or transactions, constitute the agreement between you and Colleator regarding your use of the Service.
